These API Terms of Use ("Terms") govern access to and use of the CREquity.ai application programming interfaces, developer tools, documentation, sandbox environments, and related services (collectively, the "API"). These Terms form a binding agreement between CREquity.ai, Inc. ("CREquity.ai," "we," or "us") and the entity or individual accessing or using the API ("Partner," "you," or "your").
By accessing or using the API, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Definitions
- "API Credentials" means API keys, secrets, tokens, or other authentication materials issued by CREquity.ai.
- "API Data" means any data, content, or information provided through the API, including valuation results, compliance outputs, audit logs, and metadata.
- "Partner Data" means data submitted by Partner to CREquity.ai through the API, including property information, borrower information, documents, and metadata.
- "Sandbox Environment" means the non-production environment provided for testing and development.
- "Production Environment" means the live environment used for real valuations and operational workflows.
- "Documentation" means the API specifications, schemas, guides, and instructions provided by CREquity.ai.
2. License Grant
Subject to these Terms, CREquity.ai grants Partner a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:
- Access and use the API solely for approved business purposes;
- Integrate the API into Partner's internal systems or approved applications;
- Transmit Partner Data to CREquity.ai;
- Retrieve API Data for permitted uses.
No rights are granted except as expressly stated.
3. Restrictions
Partner shall not, directly or indirectly:
- Use the API for any unlawful, fraudulent, or unauthorized purpose.
- Reverse engineer, decompile, or attempt to extract source code from the API.
- Circumvent or disable security, authentication, or rate-limiting mechanisms.
- Use the API to build a competing product or service.
- Cache, store, or retain API Data beyond what is necessary for permitted use.
- Share, resell, sublicense, or expose API Data to third parties without written approval.
- Submit false, misleading, or incomplete data.
- Interfere with or disrupt the API or CREquity.ai systems.
CREquity.ai may monitor API usage to ensure compliance.
4. API Credentials
- Partner is responsible for maintaining the confidentiality of all API Credentials.
- API Credentials may not be shared outside Partner's authorized personnel.
- Partner must notify CREquity.ai immediately upon suspected compromise.
- CREquity.ai may revoke or rotate credentials at any time for security or compliance reasons.
Partner is fully responsible for all actions taken using its API Credentials.
5. Data Rights and Responsibilities
5.1 Partner Data
Partner represents and warrants that:
- It has all rights, permissions, and lawful bases to submit Partner Data;
- Partner Data is accurate, complete, and not misleading;
- Partner Data does not violate any third-party rights or applicable laws.
Partner grants CREquity.ai a license to use Partner Data for:
- Providing valuation, compliance, and related services;
- Improving and operating the API;
- Regulatory, audit, and security purposes.
5.2 API Data
API Data is owned exclusively by CREquity.ai.
Partner may use API Data solely for:
- Internal underwriting, risk, compliance, or operational workflows;
- Approved integrations and business processes.
Partner may not:
- Publish, resell, or redistribute API Data;
- Use API Data to train models or datasets without written consent.
6. Security and Compliance
Partner agrees to:
- Use industry-standard security controls to protect API Credentials and Partner Data;
- Comply with all applicable laws, including privacy, data protection, and lending regulations;
- Implement secure storage, transmission, and access controls;
- Maintain audit trails for API usage.
CREquity.ai may require additional controls, including:
- IP allowlisting
- Multi-factor authentication
- Key rotation
- Enhanced logging
7. Rate Limits and Usage Controls
CREquity.ai may impose rate limits, quotas, or usage thresholds.
Partner agrees not to:
- Exceed published or communicated limits;
- Attempt to bypass or manipulate rate-limiting mechanisms.
CREquity.ai may throttle, suspend, or terminate access for excessive or abusive usage.
8. Sandbox Environment
- Sandbox is for testing only and may contain mock or synthetic data.
- Sandbox performance, availability, and outputs are not guaranteed.
- Data submitted to Sandbox may be deleted or reset at any time.
- Sandbox credentials may differ from production credentials.
9. Availability and Support
CREquity.ai will use commercially reasonable efforts to maintain API availability but does not guarantee:
- Uninterrupted or error-free operation;
- Continuous uptime;
- Immediate resolution of issues.
CREquity.ai may perform maintenance, updates, or modifications at any time.
10. Modifications to the API
CREquity.ai may modify, update, or deprecate:
- Endpoints
- Schemas
- Authentication methods
- Rate limits
- Documentation
CREquity.ai will provide reasonable notice for breaking changes when feasible.
Partner is responsible for updating integrations accordingly.
11. Confidentiality
API Credentials, API Data, Documentation, and all non-public information provided by CREquity.ai are Confidential Information.
Partner agrees to:
- Maintain confidentiality using industry-standard safeguards;
- Use Confidential Information solely for permitted purposes;
- Not disclose Confidential Information to third parties without written consent.
12. Intellectual Property
All rights, title, and interest in the API, API Data, Documentation, and CREquity.ai systems remain exclusively with CREquity.ai.
No rights are granted except as expressly stated.
13. Termination
CREquity.ai may suspend or terminate API access immediately if:
- Partner violates these Terms;
- Partner's API usage poses security, operational, or compliance risks;
- Required by law, regulation, or supervisory authority.
Upon termination:
- All API access ceases immediately;
- Partner must delete all API Data unless legally required to retain it;
- All licenses granted under these Terms terminate.
14. Disclaimers
The API is provided "as is" and "as available."
CREquity.ai disclaims all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness of API Data
Partner uses the API at its own risk.
15. Limitation of Liability
To the maximum extent permitted by law:
- CREquity.ai is not liable for indirect, incidental, consequential, punitive, or special damages.
- CREquity.ai's total liability under these Terms shall not exceed the fees paid by Partner in the preceding twelve (12) months.
16. Indemnification
Partner agrees to indemnify, defend, and hold harmless CREquity.ai from any claims, damages, losses, or liabilities arising from:
- Partner's use of the API;
- Partner Data;
- Breach of these Terms;
- Violation of applicable laws or third-party rights.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction where CREquity.ai is incorporated, without regard to conflict-of-law principles.
Disputes shall be resolved through:
- Good-faith negotiation;
- Binding arbitration (unless prohibited by law);
- Courts of competent jurisdiction for injunctive relief.
18. Changes to These Terms
CREquity.ai may update these Terms at any time. Continued use of the API after changes become effective constitutes acceptance of the updated Terms.
